1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity) and us regarding your access to and use of our enterprise asset management platform ("Service").
By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
The Service is a cloud-based enterprise asset management platform that enables organizations to:
- Track and manage physical asset inventory
- Record asset details, locations, and assignments
- Schedule and log preventive maintenance
- Track costs, depreciation, and total cost of ownership
- Generate reports and analytics
- Maintain audit trails and compliance documentation
- Store documents and images related to assets
The specific features available depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
3. Subscription Plans and Limitations
3.1 Free Plan
The Free plan provides limited access to core features. Free plan limitations include:
- Maximum number of assets, users, and storage
- Limited feature access (as specified on our pricing page)
- Community support only
Free plan is offered at our discretion and may be modified or discontinued with 90 days notice.
3.2 Paid Plans
Paid subscription plans offer increased limits and additional features. By subscribing to a paid plan:
- You agree to pay all applicable fees as described on our pricing page
- Fees are billed in advance on a monthly or annual basis
- Subscriptions automatically renew unless cancelled
- You authorize us to charge your payment method for recurring fees
3.3 Plan Changes
You may upgrade your plan at any time, with prorated charges. Downgrades take effect at the next billing cycle. If you exceed your plan limits, you must upgrade or reduce usage within 30 days.
4. Your Responsibilities
4.1 Account Security
You are responsible for:
- Maintaining the confidentiality of account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use
- Managing user access within your organization
- Ensuring users understand and comply with these Terms
4.2 Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Upload malicious code, viruses, or harmful content
- Use automated tools to access the Service without permission
- Resell or redistribute the Service without authorization
- Store or transmit content that violates third-party rights
- Use the Service to compete with or replicate our offerings
4.3 Data Accuracy
You are responsible for the accuracy and completeness of data you enter into the Service. We provide tools for data management but do not verify the accuracy of your asset data.
5. Data Ownership and Rights
5.1 Your Data
You retain all ownership rights to your data. "Your Data" includes all asset information, documents, images, and other content you upload or create using the Service.
You grant us a limited license to host, store, process, and display Your Data solely to provide the Service. This license ends when you delete Your Data or terminate your account.
5.2 Data Export
You may export Your Data at any time using our export features. We provide data in standard formats (CSV, JSON) to ensure portability. Upon account termination, you have 30 days to export Your Data before it is deleted.
5.3 Our Intellectual Property
The Service, including its design, features, code, and documentation, is our proprietary property protected by intellectual property laws. These Terms grant you no rights to our intellectual property except the limited right to use the Service.
5.4 Aggregated Data
We may collect and use anonymized, aggregated data that does not identify you or your organization for analytics, benchmarking, and Service improvement. This data cannot be traced back to you.
6. Service Availability and Support
6.1 Availability Target
We strive to maintain 99.9% service availability. However, we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or security updates
- Factors beyond our reasonable control
6.2 Support
Support levels vary by plan. Paid plans include email support with response time targets. Enterprise plans may include priority support and dedicated account management. Support does not include training, customization, or data entry services.
6.3 Modifications
We may modify the Service at any time to improve functionality, security, or compliance. Material changes that negatively affect core features will be communicated with at least 30 days notice.
7. Termination
7.1 Termination by You
You may cancel your account at any time through account settings or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods, except as required by law.
7.2 Termination by Us
We may suspend or terminate your account:
- Immediately for violation of these Terms
- Immediately for non-payment after notice period
- With 30 days notice for any other reason
7.3 Effect of Termination
Upon termination:
- Your right to access the Service ends immediately
- You have 30 days to export Your Data
- After 30 days, Your Data will be deleted
- You remain liable for any outstanding fees
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
- Loss of goodwill or reputation
OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Data or content you upload
10. General Provisions
10.1 Governing Law
These Terms shall be governed by applicable law, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.
10.2 Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days notice. Your continued use after changes take effect constitutes acceptance of the new Terms.
10.3 Entire Agreement
These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and us regarding the Service.
10.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
10.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
